BoardEffect, a complete software that improves board performance

BoardEffect is a board management platform that drives efficiency, effectiveness and engagement, facilitating organisational boards to work smarter. BoardEffect enables better communication and collaboration, fulfilling the board management needs of organisations with varying structures, missions, and goals.

The Institute of Directors Kenya (IoD-K), the body that promotes directors’ professionalism, recognises the role of technology in enhancing the efficiency and effectiveness of boards. “The institute is promoting the use of technologies to support the work of boards in steering their organisations. We have worked with very many organisations, and we are now collaborating very closely with Diligent to enhance efficiencies in board operations,” says Mr Meshack Joram, the Chief Executive of IoD-K.

Diligent is a leading global governance software provider based in the US. BoardEffect, a brand under Diligent, is a 360-degree board management solution that enables leaders and administrators to easily prepare, collaborate, and review board materials. “Directors are able to share multiple documents and access information even before the virtual meetings, saving them time,” Mr Joram says.

The Institute is coming in to enhance user awareness and capability, to get the best out of the platform. Mr Joram says the effectiveness of virtual boardrooms depends on how competent directors are at using these technologies, and how willing they are to be engaged.

“We are partnering with Diligent to promote the use of advanced technologies in boards. In our Director Certification Course – Advanced Directorship Certification Programme (ADCP) – there is a module known as Governance of Information Technology and Boardroom Innovation, which trains directors on the effective use of technologies to enhance organisational performance,” says Mr Joram.

The IoD has scheduled the five-day Director Certification Programme in June, August and November. The Institute has more than 2,000 individual and 50 corporate members, in both private and public sectors. It champions best practices in corporate governance through its activities.

More impactful board meetings

Directors have the responsibility to provide oversight on human resources, finances, and the management of risks. This, says Mr Joram, “is the critical role they play in steering their organisations, and it is where technology comes in to enhance collaboration and give them the flexibility to securely access board books and other documents to be involved, electronically.”

BoardEffect manages longer-term projects like policy and compliance, budgeting, board member elections, and evaluations. It also takes charge of board development within the three to five-year’s engagement. “It helps to enhance succession planning and lets you know when to start the process of appointing a new director,” Mr Joram points out.

BoardEffect puts security first and goes beyond industry standard. “The directors have the necessary login credentials, and loss of the gadget doesn’t lose that credibility. File-sharing and management is secure,” says Joram.

The platform can be tailored to customise governance solutions for organisations. It offers product integrations that allow for single sign-on (SSO) services, and provides a responsibility to track actions and see who is responsible for doing what. This enhances accountability. “It has questionnaires developed for evaluations on issues related to conflict of interest,” Joram points out, and adds: “It also simplifies the processes for directors and administrators to perform those critical roles like evaluations.”
